These Terms & Conditions apply to products and services provided by Hubva Global, a trading name of HUBVA LTD, a company registered in England and Wales under company number 14208847, including training programmes, GLOBALG.A.P. readiness support, assessments, implementation support and other professional services and, where applicable, produce sourcing, supply, trading and wholesale activities. By purchasing, booking or engaging Hubva Global to provide a service, you agree to these Terms & Conditions. Additional conditions may apply to particular services and will be clearly identified where relevant. Nothing in these Terms & Conditions affects any statutory rights that cannot lawfully be excluded or restricted.
1. About Hubva Global and These Terms
These Terms & Conditions govern the purchase, booking and use of products and services provided by Hubva Global and, where applicable, commercial transactions involving the sourcing, supply, trading or wholesale of produce. They apply whether services are purchased directly through our website, booked following an enquiry, or agreed separately with us. Where a service has additional or service-specific conditions, those conditions form part of these Terms & Conditions and apply alongside the general terms set out on this page.
2. Our Services
Hubva Global provides professional training, readiness assessment, implementation support and related advisory services designed to help producers and organisations understand relevant requirements, strengthen their systems and practices, and prepare for certification and market readiness. The specific scope, format, price and delivery arrangements for a service will be stated on the relevant service page, booking information, quotation or other written agreement.
Where our services relate to GLOBALG.A.P., training, readiness assessment or implementation support provided by Hubva Global does not itself constitute GLOBALG.A.P. certification and does not guarantee that certification will be achieved. GLOBALG.A.P. certification is subject to an independent audit and assessment by an appropriately approved certification body.
Hubva Global may also purchase, source, trade, supply or arrange the wholesale of fruit and vegetables for UK, European and other markets. Such activities may include working with producers and suppliers that meet relevant quality, traceability, certification, regulatory, buyer and market requirements. Any produce sourcing, supply or wholesale transaction will be subject to the applicable commercial terms, specifications and requirements agreed for that transaction.
3. Bookings, Orders and Payment
3.1 General Bookings, Orders and Payment
Customers may purchase or book certain Hubva Global services directly through our website or through another payment or booking method made available by us. Other services may require enquiry, assessment of requirements, quotation or separate written agreement before they can be purchased.
Where online payment is available, the applicable price and any relevant taxes or charges will be displayed before payment is completed. Payment must be made using one of the payment methods offered at checkout. A booking or order is not complete until payment has been successfully processed and the customer receives confirmation from Hubva Global or its authorised payment or booking system.
Prices, service availability and scheduled training dates may change from time to time. Any changes will not affect a booking or order already accepted by Hubva Global, except where these Terms & Conditions expressly provide for rescheduling, cancellation or other changes to the delivery of a service.
3.2 Produce Sourcing, Supply and Wholesale
Where Hubva Global purchases, sources, supplies, trades or arranges the wholesale of fruit, vegetables or other produce, each transaction will be subject to the specifications, quantities, price, delivery arrangements and any other requirements agreed in the relevant quotation, purchase order, sales order, invoice or other written agreement. Suppliers are responsible for ensuring that produce supplied meets the agreed specifications and all applicable legal, food safety, traceability, quality, certification and market-access requirements relevant to the transaction. Hubva Global may require appropriate records, certificates or other evidence of compliance before accepting produce.
Unless otherwise agreed in writing, payment terms, delivery arrangements and the point at which title and risk transfer will be specified for the relevant transaction. Hubva Global, its customer or another authorised party may inspect produce on or following delivery and may reject, require replacement of, or seek an appropriate remedy for produce that does not conform to agreed specifications or applicable requirements, subject to the terms of the relevant transaction and applicable law. Participation in Hubva Global training, readiness support or other professional services, and achievement of any third-party certification, does not guarantee selection or appointment as a Hubva Global supplier, the placement of purchase orders, or any minimum volume or duration of business.
4. Training and Course Enrolment
Where Hubva Global offers a training programme or course for direct online enrolment, the course description will identify the applicable fee, delivery format, and where relevant, the scheduled training date or dates. Unless otherwise stated, a participant’s place is secured once the required payment has been successfully processed and confirmation of enrolment has been issued through Hubva Global’s website, payment system or other authorised booking process.
Enrolment relates only to the participant and course or scheduled cohort identified in the booking confirmation. Places may not be transferred to another person or another course date without Hubva Global’s prior agreement in writing. Any request to transfer, cancel or change enrolment will be dealt with in accordance with the cancellation, transfer and refund provisions set out in these Terms & Conditions and any statutory rights that apply.
4.1 Course Capacity and Minimum Cohort Size
Individual training programmes may be subject to minimum and maximum participant numbers. Where applicable, these will be stated in the relevant course information. For GLOBALG.A.P. Essentials, each scheduled cohort is currently limited to a maximum of 15 participants and will normally require a minimum of 4 participants to proceed. Once the maximum capacity has been reached, further enrolments for that cohort may be closed.
A participant’s enrolment and place are confirmed following successful payment and confirmation as described under section 3.1; however, this does not guarantee that a scheduled course will proceed where the stated minimum cohort size has not been reached. If Hubva Global decides not to proceed with a scheduled course because the minimum cohort size has not been reached, affected participants will be offered the choice of transferring their enrolment to another available course date or receiving a full refund of the course fee paid. Hubva Global will notify affected participants as soon as reasonably practicable.
4.2 Course Changes, Postponement and Cancellation by Hubva Global
Hubva Global may occasionally need to change, postpone or cancel a scheduled training course due to circumstances such as trainer illness or unavailability, significant technical disruption, events outside our reasonable control, or other circumstances that make delivery of this course impracticable. Where reasonably possible, Hubva Global will give affected participants as much notice as practicable and will seek to minimise disruption.
Where Hubva Global cancels a course and does not provide a suitable replacement date, affected participants will be entitled to a full refund of the course fee paid. Where a course is postponed or rescheduled, participants will be offered the opportunity to transfer their enrolment to the revised date. If the revised date is not reasonably suitable for the participant, they may request a transfer to another available course date or a full refund of the course fee paid.
4.3 Participant Cancellation, Transfers and Refunds
If a participant wishes to cancel or transfer an enrolment, they should contact Hubva Global as soon as reasonably possible. Subject to any statutory rights that may apply, requests received 14 days or more before the scheduled course date may be cancelled for a full refund or transferred to another available course date. Requests received less than 14 days before the scheduled course date will normally be offered a transfer to another available course date rather than a refund, unless Hubva Global agrees otherwise.
Nothing in these Terms & Conditions limits any cancellation, refund or other rights that a customer is entitled to under applicable law. Where a customer purchases a service online or at a distance and has a statutory cancellation right, including any applicable 14-day cancellation period, that right will apply irrespective of the commercial cancellation arrangements above. If a customer expressly requests that a service begins during a statutory cancellation period, and subsequently cancels after the service has begun, they may be required to pay an amount proportionate to the service supplied up to the time of cancellation, where permitted by applicable law. Where the service has been fully performed during the cancellation period following the consumer’s express request and acknowledgement that their cancellation right will be lost once the service has been fully performed, the statutory right to cancel may cease.
4.4 Participant Responsibilities and Online Delivery
Where training is delivered online, participants are responsible for ensuring that they have suitable internet access, a compatible device and the ability to access the online platform specified by Hubva Global. Participants should join at the stated time and take reasonable steps to participate throughout the session. Hubva Global will provide joining instructions and any relevant access information before the scheduled course.
Participants are responsible for providing accurate information when enrolling and for using training materials and course access details appropriately. Login details, joining links and course materials provided for an individual participant must not be shared with other persons unless Hubva Global has expressly agreed otherwise. Any certificates, confirmations of attendance or completion issued by Hubva Global may be subject to reasonable participation, attendance or completion requirements communicated for the relevant course.
5. Intellectual Property and Training Materials
Unless otherwise stated, training materials, templates, tools, frameworks, presentations, workbooks, guidance documents and other resources created and provided by Hubva Global remain the intellectual property of Hubva Global or its applicable licensors. Payment for a course or service gives the customer or participant a limited, non-exclusive right to use the materials provided to them for their own personal, professional or internal organisational purposes. It does not transfer ownership of the intellectual property in those materials.
Hubva Global materials must not be copied, reproduced, published, sold, commercially exploited, distributed to third parties, used to deliver training to others, or materially adapted for onward distribution without prior written permission, except where permitted by law or expressly authorised by the applicable licence terms. Some services may incorporate or refer to materials, standards, trademarks or intellectual property owned by third parties, including GLOBALG.A.P., ownership and permitted use of such materials remain subject to the rights and applicable terms of the relevant third-party owner or licensor.
6. Use of Services and Professional Information
Hubva Global provides training, readiness assessment, implementation support and other professional services to help customers understand relevant requirements, identify areas for improvement and make informed decisions about their operations. Information, recommendations and resources provided through these services are based on the scope of the engagement and the information available to Hubva Global at the time. Customers remain responsible for decisions made in relation to their own operations and for ensuring compliance with legal, regulatory, certification, buyer and market requirements applicable to them.
Hubva Global does not guarantee that participation in a course or use of its professional services will result in GLOBALG.A.P. or other third-party certification, regulatory approval, acceptance by a particular buyer or market, appointment as a supplier, successful export of produce, or any particular commercial or financial outcome. Where certification, regulatory approval, market access or buyer acceptance depends on a third party, the relevant decision remains with that third party.
7. Liability
Hubva Global will provide its services with reasonable care and skill. To the extent permitted by law, Hubva Global will not be responsible for losses arising from matters outside its reasonable control, decisions or actions taken independently by customers or third parties, or a customer’s failure to follow applicable legal, regulatory, certification, buyer or market requirements. Hubva Global will not be responsible for indirect or consequential business losses, loss of profit, loss of business opportunity or loss resulting from decisions made by independent certification bodies, regulators, buyers, logistics providers, or third parties, except where liability cannot lawfully be excluded or limited.
Nothing in these Terms & Conditions excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any rights or remedies available to consumers that cannot lawfully be excluded or restricted. Where a customer is acting in the course of a business, any additional limitation of liability applicable to a particular service or produce transaction may be specified in the relevant quotation, order, agreement or other written terms.
8. Privacy and Personal Information
Hubva Global will collect and use personal information provided in connection with enquiries, bookings, payments, training and other services in accordance with its Privacy Policy and applicable data protection law. Customers and participants are responsible for ensuring that information they provide is accurate and, where they provide personal information about another person, that they have appropriate authority to do so.
Payments made online may be processed by third-party payment service providers. Hubva Global does not require customers to provide payment card details directly to Hubva Global where those details are collected and processed by the applicable payment provider. Information relating to transactions, bookings and payments may be received and retained by Hubva Global where necessary for administration, accounting, legal and service-delivery purposes.
9. Complaints and Dispute Resolution
If you are dissatisfied with a Hubva Global service, booking, transaction, or other aspect of your dealings with us, please contact us as soon as reasonably possible and provide sufficient information for us to understand the issue. Hubva Global will seek to acknowledge and investigate complaints fairly and to work with the customer towards an appropriate resolution.
Where a complaint cannot be resolved directly between Hubva Global and the customer, the parties should, where appropriate, make reasonable efforts to resolve the dispute through discussion or another suitable form of dispute resolution before commencing legal proceedings. Nothing in this section prevents either party from exercising any legal rights or remedies available to them.
10. Events Outside Our Reasonable Control
Hubva Global will not be responsible for a delay or failure to perform its obligations where this results from circumstances outside its reasonable control. Such circumstances may include severe weather or natural events, epidemics, or public-health restrictions, war or civil disturbance, government or regulatory action, significant failure of telecommunications, transport or border disruption, industrial action or other comparable events that could not reasonably have been prevented or avoided.
Where such an event materially affects a service, course, order or other transaction, Hubva Global will take reasonable steps to minimise disruption and will inform affected customers where reasonably practicable. Depending on the circumstances, this may include rescheduling or modifying delivery arrangements, agreeing alternative arrangements, or cancelling the affected service or transaction and providing any refund or other remedy required under these Terms & Conditions or applicable law.
11. Changes to Services and These Terms
Hubva Global may update, develop or discontinue its services and may amend these Terms & Conditions from time to time to reflect changes to its services, business activities, technology, regulatory requirements or operating arrangements. The current version of these Terms & Conditions will be made available on the Hubva Global website and may include the date on which it was last updated.
Unless otherwise required by law or agreed with the customer, changes to these Terms & Conditions will not retrospectively alter the material terms of a booking, order, or other transaction that Hubva Global has already accepted. The terms applicable at the time a customer enters into a transaction will normally continue to govern that transaction, together with any subsequently agreed changes.
12. Governing Law and Jurisdiction
These Terms & Conditions and any dispute or claim arising from or in connection with them, or with the products or services provided by Hubva Global, will be governed by the laws of England and Wales, unless applicable law requires otherwise.
Where a customer is acting in the course of a business, the courts of England and Wales will have jurisdiction over disputes arising from or connected with these Terms & Conditions or the relevant transaction, unless otherwise agreed in writing. Where a customer is acting as a consumer, nothing in these Terms & Conditions is intended to deprive them of any mandatory rights or protections, including rights relating to applicable law or jurisdiction, that cannot be lawfully excluded.
13. Contact and Effective Date
